Please read these Terms of Service (“Terms”) carefully before using our booking website (“Service”) provided by solboo.com (“we,” “us,” or “our”). These Terms govern your access to and use of the Service, including our premium bed service.. By using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our Service.
Accuracy of Information While we strive to ensure the accuracy and reliability of the information provided on our website, we cannot guarantee that all information is always accurate, complete, or up to date. We reserve the right to make changes, updates, or corrections to the content at any time without prior notice.
Prohibited Actions By using this website, you agree that you will not engage in any abusive or fraudulent behavior that could harm our Service or other users. Prohibited actions include, but are not limited to:
2.1. Multiple Accounts: You will not create or use multiple accounts to avoid subscription costs or gain unfair advantages. This includes but not limited to creating an affiliate account for the purpose of gaining a discount for your own establishment.
2.2. Misuse of Service: You will not purposefully abuse or manipulate our Service to disrupt its functionality, impair its performance, or interfere with the experiences of other users.
User Responsibilities You are solely responsible for the accuracy and reliability of the data you provide and the decisions you make while using our Service. We do not assume responsibility for any inaccuracies or errors in the information provided by users or for any consequences resulting from the use of our Service.
Customer Queries Any inquiries or concerns raised by hotel patrons or customers regarding bookings, availability, or other matters related to the services provided by the venue should be directed to the venue itself. We are not responsible for addressing or resolving such queries.
Premium Bed Service – In addition to the standard services offered through our website, we also provide a premium bed service (“Premium Bed Service”). The Premium Bed Service includes the identification of beds to be classified as premium beds and the application of a cost to these beds. Payment for the premium beds will be processed through our system, and the cost will be passed on to the hotel on the 1st of the month following a 30-day period.
For example, if a premium bed is priced at 15 euros, the amount to be charged to the hotel will be calculated as follows: 15 euros – 10% + 30 cents (handling fee) per transaction.
Payment Handling and Discrepancies – In relation to our Premium Bed Service, we will hold onto the funds collected for the premium beds for a specified period of time, which includes the 30-day period after the transaction. This holding period is intended to account for instances where funds may need to be reclaimed by credit card companies, or in cases where discrepancies or disputes arise.
During this holding period, if any discrepancies or issues arise with a payment, such as a chargeback initiated by a credit card company or any other payment-related matters, we reserve the right to investigate the matter and withhold the corresponding funds until the matter is resolved. We will work diligently to address any such discrepancies and provide reasonable assistance to resolve the issue in a timely manner.
It is important to note that Solboo is responsible solely for the handling of payments for the Premium Bed Service. The responsibility for any interactions, agreements, or disputes between users and the hotel in relation to the Premium Bed Service lies with the hotel. Any issues, concerns, or disputes arising from the use of the premium beds, including but not limited to booking, availability, quality, or any other matter, are the sole responsibility of the hotel to address and resolve.
Solboo’s role is limited to processing payments and handling transactions for the Premium Bed Service. We do not have control over, and are not liable for, any aspects of the user’s experience with the premium beds beyond the payment process.
By using our Service and engaging with the Premium Bed Service, you acknowledge and agree that Solboo’s role is limited to payment handling, and any issues or disputes related to the use of the premium beds are the responsibility of the hotel to manage and resolve.
Please review these updated Terms of Service, including the added clause, to ensure that they accurately reflect the terms and conditions of using our Service and the Premium Bed Service. If you have any further adjustments or additions you’d like to make, please let me know.
Affiliate Program
7.1. Eligibility and Participation
a. Participation in the affiliate program (“Program”) is subject to acceptance of these terms and conditions (“Terms”). By participating in the Program, you (“Affiliate”) agree to be bound by these Terms.
b. To be eligible for participation in the Program, Affiliate must:
i. Not be related to the hotel in any way, including but not limited to ownership, employment, or familial relationships.
ii. Not create an account for the purpose of gaining an unfair advantage in the Program.
7.2. Program Details
a. Under the Program, Affiliate can earn commission based on the monthly subscription payments made by hotels (“Hotel”) referred by Affiliate.
b. Affiliate will receive 30% of the monthly subscription payment made by the Hotel for a period of two years from the date of the Hotel’s first full subscription payment. This will commence after any free period has ended.
c. Following the initial two-year period, Affiliate will receive 15% of the monthly subscription payment made by the Hotel for the subsequent one-year period.
d. The commission applies only to the monthly subscription payment and excludes any other services or products subscribed to by the Hotel.
e. Payment to the Affiliate will be made within 30 days after receiving payment from the Hotel.
7.3. Termination and Modification
a. We reserve the right to terminate or modify the Program at any time, with or without notice, in our sole discretion.
b. In the event of termination or modification of the Program, Affiliate will be notified via email or through the website.
c. Payments will cease if the hotel terminates its contract with Solboo. The value returned each month will also change if the hotel modifies its subscription level with Solboo. For instance if the hotel choses to increase its subscription level the 30% paid to the affiliate will resemble 30% of the new paid subscription amount. Equally if a reduction occurs 30% will be paid based on this new value.
7.4. Limitation of Liability
a. We shall not be liable to Affiliate for any indirect, incidental, consequential, or punitive damages arising out of or relating to the Program.
7.5. General Provisions
a. These Terms constitute the entire agreement between Affiliate and us regarding the Program and supersede all prior and contemporaneous agreements, proposals, or representations, whether oral or written.
b. These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without giving effect to any principles of conflicts of law.
c. Any dispute arising out of or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
d. Failure by us to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
e. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
Website Security While we make every effort to maintain the security and integrity of our website, we cannot guarantee that unauthorized third parties will not attempt to misuse or disrupt our Service. To prevent unauthorized access, it is essential to routinely rotate the venue’s passcode to minimize the risk of unauthorized bookings or misuse.
Intellectual Property The content, design, and functionality of our Service are protected by intellectual property laws. You acknowledge that all trademarks, logos, service marks, and other proprietary materials displayed on our website belong to their respective owners. You agree not to reproduce, modify, distribute, or use any intellectual property without obtaining proper authorization.
Limitation of Liability To the fullest extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising out of or in connection with your use of our Service, including but not limited to any loss of data, profits, or business opportunities.
Modification of Terms We reserve the right to modify or update these Terms at any time without prior notice. Any changes to these Terms will be effective immediately upon posting on our website. Your continued use of our Service after the posting of any modifications constitutes your acceptance of the revised Terms.
Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable under any applicable law or court decision, such provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable, while preserving its intent. If such modification is not possible, the affected provision shall be severed from these Terms, and all other provisions shall remain in full force and effect.
